1. Who this agreement is between

This Client Service Agreement (the “Agreement”) is between:

In plain terms: you subscribe to one of our monthly website plans. We design, build, host and look after your website, and make your edits. You pay a monthly fee, plus any one-time fees listed below.

2. Your order

Your order is the plan, any add-ons and the billing option you choose when you sign up. They’re shown on your signup confirmation and your Stripe invoice (Section 2.4).

2.1 Plans

Plan Regular monthly price Setup fee
The Perch $99/month None
The Dive $199/month $99, one time
The Fly $499/month Quoted per project in a written quote you approve. 50% due at signing, 50% due at launch.

2.2 One-time add-ons

Add-on Price What you get
Logo Package $89, one time A custom logo mark, 2 rounds of revisions, vector files (SVG, PDF, EPS) and PNGs for web and social
Brand Identity Kit $199, one time (included with The Fly) Everything in the Logo Package, plus a color palette, a font pairing, a one-page brand guide, a business card design, and social profile and cover images
Vector cleanup of your existing logo Free on every plan We redraw your existing logo as a crisp vector file

The Logo Package and Brand Identity Kit are add-ons for The Perch and The Dive. On The Fly, the Brand Identity Kit is included and is paid for by The Fly’s setup fee.

2.3 Billing options

Every plan can be paid in one of two ways.

Billing option What you pay
Month-to-month The regular monthly price for your plan. No commitment. Cancel anytime (Section 8).
12 months, paid upfront One upfront payment covers 12 months of service: The Perch $1,089; The Dive $2,189; The Fly $5,489. Renews automatically each year (Section 8.3).

Setup fees and add-ons are charged separately and are not discounted. Any promotional discount shown on your order or invoice applies for its stated duration. A prepaid 12 months renews automatically for another prepaid 12 months at the regular yearly price then in effect, unless you switch to month-to-month or cancel before the renewal date (Section 8.3).

2.4 Your order details

When you sign up, we record your order details with your acceptance of this Agreement: your plan, add-ons, setup fee, billing option, monthly or prepaid amount, any promotional discount and how long it lasts, the total due at signup, your service start date, any prepaid 12-month renewal date, and your website domain. For your domain, we also record whether you already have one (and with which registrar) or need one. If you need one, a domain is included in your package (Section 11); if you choose a premium domain, you pay the cost above a standard registration. You’ll see these details on your signup confirmation and your Stripe invoice.

2.5 Acknowledgement

By accepting this Agreement, you confirm you understand that you can change plans anytime, including during a prepaid 12 months, and that moving to a lower plan removes the features and maintenance that came with the higher plan (Section 8.6).

3. What’s included

Each plan includes the services listed in Schedule A, which is part of this Agreement. On every plan, while your service is active, we host your site with SSL (the padlock in the address bar) and keep backups. Every plan also includes Google Business Profile setup: you create or claim your profile on Google, complete Google’s verification and add us as a manager, and we fill in the rest. Ongoing profile care is included only with The Dive and The Fly. Every plan also includes email forwarding at your domain: we set up addresses like you@yourbusiness.com that forward incoming mail to an inbox you already use. Forwarding only receives mail; it isn’t a mailbox you can send from. For forwarding, your domain’s DNS needs to be managed on Cloudflare, but your domain can stay registered where it is. If you already have email at your domain, we don’t change that setup. Full mailboxes you can send from, like Google Workspace, aren’t part of any plan; we can set one up for you, and its provider bills you for it. Pages are “unlimited pages (within reason),” custom designed: we don’t count pages for a normal small-business website, but very large catalogs or bulk content entry may be quoted as a separate project.

Anything not listed in Schedule A is outside your plan. We’ll quote it first and start only after you approve the quote in writing (email is fine).

4. Getting your site built and launched

  1. What you give us. Your business information (services, hours, service area, prices, contact details), the text you want on the site or the facts we need to draft it with you, your photos and logo, and access to the accounts we need, such as your domain registrar, Google Business Profile, existing website and social media pages.
  2. Review and launch. We’ll send you a link to review your site before it goes live and make your changes. Setup includes two rounds of changes before launch. Once you approve, we launch the site on your domain.
  3. Timing. Launch timing depends on how quickly we get your content, access and approvals. Any launch date we give you is an estimate, not a guarantee.

5. Edits and support

  1. Small edits are changes to what’s already on your site, such as text, photos, hours, prices and specials. Each takes about half an hour or less, and we handle them one at a time. Bigger jobs, like a new feature or a redesign, get a quote first.
  2. Your edit allowance and turnaround:
    • The Perch: up to 2 small edits a month, done within 24 hours.
    • The Dive: unlimited small edits (fair use), done within 24 hours.
    • The Fly: unlimited small edits (fair use), done the same business day.
  3. Turnaround is counted from when we receive a complete request. The 24-hour clock pauses on weekends and holidays.
  4. Fair use. “Unlimited small edits” is for normal upkeep. If you’re regularly sending a lot, we’ll talk with you about which plan fits.
  5. How to ask. Send requests through theflypelican.com/support or email hello@theflypelican.com.

6. Fees and billing

  1. Monthly fee. Your monthly fee is billed in advance through Stripe, starting on your service start date, and renews automatically each month until your service ends under Section 8.
  2. How you pay. You pay through a secure Stripe payment link or Stripe invoice. You authorize us, through Stripe, to charge your payment method on file for each monthly or yearly fee and for any one-time fees you approve. You can update your card, see invoices and manage billing in your Stripe customer billing portal.
  3. Setup fees and add-ons. The Dive’s setup fee is due at signing with your first month. The Fly’s setup fee is invoiced separately: 50% is due at signing and 50% is due at launch. Add-ons are due when ordered.
  4. 12 months, paid upfront. You pay the prepaid amount in Section 2.3 upfront, and it covers 12 months of service from your start date. It renews automatically as described in Section 8.3.
  5. Price changes. We may change our regular prices with at least 30 days’ written notice. Your prepaid 12-month price stays the same until your prepaid 12 months end.
  6. Taxes and third-party fees. Fees don’t include sales or similar taxes; you pay any that apply. Third-party costs, like payment processing for your own customers or a booking app’s subscription, are billed to you by those providers.

7. Refunds

  1. Monthly fees: no refunds for partial months.
  2. Setup fees and add-ons:
    • If you cancel before we start the work, you get a full refund.
    • If you cancel partway through, you get a partial refund for the work not yet done.
    • Once the work is delivered, there’s no refund.
  3. 12 months paid upfront: non-refundable if you cancel before the 12 months are up (Section 8.2).

8. Term, renewal, plan changes and cancelling

  1. Month-to-month. There’s no minimum. You can cancel anytime by email or in your billing portal. Your service ends at the end of your current billing month.
  2. 12 months, paid upfront. Your prepaid term runs for 12 months from your service start date. If you cancel early, nothing is refunded (Section 7), and we keep your site up and serviced until the paid 12 months end. Then your plan ends.
  3. Renewal of a prepaid 12 months. Your prepaid 12 months renew automatically for another prepaid 12 months at the regular yearly price in effect at renewal, charged to your payment method on file. We’ll send you a reminder before the renewal date. Before the renewal date, you can switch to month-to-month (the regular monthly price, cancel anytime as in 8.1) or cancel, by email or in your billing portal.
  4. Ending for a serious breach. Either of us may end this Agreement if the other materially breaks it and doesn’t fix it within 10 days after written notice.
  5. When service ends. Unless you’ve bought out your website (Section 10), we take the site down at the end of your service. We’ll send you your own content and photos, and the files for anything you bought one time (Section 9.1), on request. Your domain is handled as in Section 11.
  6. Changing plans. You can move up or down a plan anytime, including during a prepaid 12 months. Your prepaid term keeps running as it was.
    • The new plan’s price starts right away, prorated for the rest of your billing month.
    • Moving up a plan adds the new plan’s setup fee: $99 for The Dive, or for The Fly a setup fee quoted per project, with 50% due when you agree to the upgrade and 50% when the upgrade launches. Setup fee refunds follow Section 7.2.
    • If you paid 12 months upfront, an upgrade costs the difference for the prepaid months that are left, and a downgrade isn’t refunded.
    • Moving down a plan removes the features and maintenance that came with the higher plan, such as its edit allowance, turnaround and extra services (see Schedule A). You acknowledge this in Section 2.5.

9. Who owns what

  1. Things you pay for one time are yours. Once paid in full, the Logo Package, the Brand Identity Kit, and the Brand Identity Kit included with The Fly (paid for by The Fly’s setup fee) belong to you, with all their files. We transfer to you our rights in the final versions and deliver the files.
  2. Your content is always yours. You always own your own content: the text, photos, logos and business information you give us. Your existing logo stays yours, including the vector cleanup we make of it.
  3. The website belongs to us and is licensed to you. Work covered by your monthly fee, mainly your website’s design and code, stays the property of The Fly Pelican LLC. While you’re subscribed, we give you a license to use it for your business. The license ends when your service ends, unless you buy out the site (Section 10).
  4. Our tools. We keep ownership of our pre-existing tools, code, templates and know-how. Third-party items, like fonts, licensed stock photos and plugins, are used under their own licenses, which may not transfer.
  5. Portfolio. We may show the work we do for you in our portfolio.

10. Website buyout

At any time, if you want to own your website, you can buy it out for a separate one-time fee equal to 6 months of your plan’s regular monthly price:

Plan Buyout fee
The Perch $594
The Dive $1,194
The Fly $2,994

Once the buyout fee is paid, we deliver your website’s files. You can then do either of these:

From then on you may use, change and host that website as you like, and our pre-existing components in it are licensed to you permanently. Third-party items stay under their own licenses.

Without a buyout, the site comes down when your service ends. We keep a copy of your site files for at least 90 days after service ends, so a buyout stays possible during that time.

11. Your domain

  1. If you already own a domain, it stays yours, in your account. You give us the access we need to manage it.
  2. If you don’t have a domain, one is included in your package. It’s registered in your name, in your own account with the registrar, with us added as a manager so we can set it up and look after it. For a standard domain (a regularly priced registration), the registration and its renewals are part of your package while you’re subscribed. If you want a premium domain, you pay the cost above a standard registration. If you leave, it’s still yours, and you take over the renewals.
  3. We never hold a domain hostage. Whatever happens with your plan or your account, your domain is yours.

12. Late or failed payments

  1. If a payment fails, Stripe retries it and emails you.
  2. After 14 days unpaid, we pause your site. It shows a “temporarily unavailable” page until your account is paid up.
  3. After 90 days unpaid, we cancel your account and remove the site.
  4. The buyout (Section 10) stays available.

13. Your responsibilities

  1. Your content. You confirm you own or have permission to use everything you give us to publish (text, photos, logos, reviews and the like), and that it’s accurate and lawful. You give us permission to use it to build, host and maintain your site. You’re responsible for your content and for how your business uses information your site collects.
  2. Access and approvals. You’ll give us access and answers in reasonable time. Delays on your side can move our timelines.
  3. Forms and customer data. Contact forms on your site send visitor information to you. Please don’t collect sensitive information (like card numbers, Social Security numbers or health records) through standard site forms.

14. Third-party services

We use trusted third-party services to run your site and your account, including Stripe (billing), Cloudflare (hosting and email forwarding), Formspree (forms) and Google (for example, Google Business Profile). They work under their own terms and privacy policies. We aren’t responsible for their outages, changes or fees, but we’ll help you work around problems where we can.

15. Confidentiality and logins

Each of us keeps the other’s non-public information private (like logins, business details and pricing in this Agreement) and uses it only for this Agreement. We use your logins only to work on your site and related accounts, and take reasonable care to protect them.

16. What we don’t promise

  1. We do careful, professional work, but we can’t guarantee search rankings, traffic, calls, leads or sales.
  2. We work to keep your site online, but we can’t promise it will never go down. Hosting providers, internet problems and maintenance can cause outages.
  3. We follow common accessibility practices, but we can’t guarantee that your site meets every accessibility standard or law, especially for content added later.
  4. Other than what this Agreement says, our services are provided “as is,” without other warranties, to the extent the law allows.

17. Limits on liability

To the extent the law allows:

  1. Neither of us is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, revenue or data.
  2. Our total liability for any claim related to this Agreement is limited to the fees you paid us in the 12 months before the event that led to the claim.

This doesn’t limit your obligation to pay fees you owe.

18. Indemnity

You’ll defend and indemnify us against third-party claims, losses and reasonable legal fees arising from content or materials you give us, your products or services, or your breach of this Agreement.

19. Disputes

  1. Florida law governs this Agreement.
  2. If we disagree, we’ll first try to sort it out by talking. If that doesn’t work, we’ll try mediation in Palm Beach County, Florida, before anyone goes to court, and split the mediator’s fee equally.
  3. If mediation doesn’t resolve it, the dispute goes to the state or federal courts located in Palm Beach County, Florida.

20. General terms

  1. Whole agreement. This Agreement, Schedule A and any written quote you approve are the entire agreement between us. If our public website terms say something different, this Agreement wins.
  2. Changes. Changes to this Agreement must be in writing and agreed by both of us (accepting electronically, such as by checkbox or e-signature, counts), except for price changes under Section 6.5.
  3. Electronic acceptance and notices. Accepting this Agreement electronically, by checking the box at signup or by e-signature, is as valid as signing a paper copy, and electronic records and copies are as valid as originals. Notices can be sent by email or by mail to the addresses in this Agreement.
  4. Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control, like hurricanes, severe storms, power or internet outages, or third-party provider failures. This doesn’t excuse late payment.
  5. Other terms. We’re independent businesses; this isn’t a partnership or employment relationship. Neither of us may assign this Agreement without the other’s written consent. If any part can’t be enforced, the rest still applies. Sections 7, 9, 10, 11, 17, 18 and 19, and any amounts owed, survive after this Agreement ends.

Accepting this Agreement

You accept this Agreement, including Schedule A, electronically when you sign up, by checking the required box “I agree to the Client Service Agreement and Terms of Service.” We keep a timestamped record of your acceptance together with your signup details. For larger projects on The Fly, we may also ask you to sign this Agreement by e-signature.

This Agreement binds you and The Fly Pelican LLC from the moment you accept it. Where this Agreement says “signing” or “at signing,” it means that moment. You can read the current version anytime at theflypelican.com/agreement.
